The terms that govern access to and use of the ShiftworkQ platform.
These Terms of Service (“Terms”) govern access to and use of ShiftworkQ, operated by Qubit3 Technologies LLP. By using the platform or signing an order for it, you agree to these Terms on behalf of your organisation.
You must provide accurate information, keep credentials secure, and are responsible for activity under your account. You must have authority to bind your organisation and be able to form a binding contract.
Paid plans are billed per employee on the cycle stated at purchase. Fees are exclusive of GST and other taxes, which are added where applicable. Unless stated otherwise, subscriptions renew automatically; you can cancel as described in our Refund & Cancellation Policy. Prices published on the website are indicative until confirmed in an order.
You agree not to misuse the platform, including by:
As between the parties, the Customer owns its Customer Data. You grant us the rights needed to host and process it to provide the service. You are responsible for the accuracy of the data and for having a lawful basis to process employee information, including informing employees as required.
ShiftworkQ, including its software, design and brand, is owned by us and our licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the platform during the subscription term.
The platform integrates certain third-party tools (for example email delivery and payments). Their use may be subject to their own terms, and we are not responsible for third-party services.
We work to keep the platform available and provide support during business hours. Except where a written service-level agreement applies, the service is provided on an “as available” basis and may be subject to maintenance and downtime.
Each party will protect the other’s confidential information and use it only to perform under these Terms, except where disclosure is required by law.
Except as expressly stated, the platform is provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and our total liability arising out of the service is limited to the fees paid by the Customer in the twelve months preceding the claim.
You agree to indemnify us against claims arising from your Customer Data or your breach of these Terms, subject to reasonable cooperation and notice.
These Terms apply while you use the platform. Either party may terminate for material breach not cured within a reasonable period. On termination, access ends and Customer Data is deleted or returned per our agreement and the Privacy Policy.
These Terms are governed by the laws of India. Courts at Pune, Maharashtra have exclusive jurisdiction, subject to any binding arbitration the parties agree to in writing.
We may update these Terms; material changes will be posted here with a revised date. Continued use after changes take effect constitutes acceptance.
